The following agreement pertains to any and all engagement between Morning University of Marunouchi (referred to henceforth as, 'The University'), students registered for and/or engaging in course content offered by The University (referred to henceforth as 'The Student'), as well as its content providers (referred to henceforth as, 'The Content Provider').
Article I: About Morning University of Marunouchi
The University was established as a community-driven educational institute (commonly referred to as a "citizens' university", however not a 'university' as defined by the laws of formal education) to be managed by the Morning University of Marunouchi Planning Committee (referred to henceforth as, 'The Planning Committee'), made up of community design and/or urban development-related organizations throughout the Otemachi, Marunouchi, and Yurakucho districts of Tokyo (referred to commonly, and henceforth as, 'The OMY') with the goal of, i) promoting a new 'morning lifestyle' emphasizing the productive, effective utilization of the early-morning hours during the week, ii) constructing a community-centric environment throughout the OMY area and in connection with other local regions, and iii) developing sustainable local value.
The University's primary operations are carried out by the Morning University of Marunouchi Planning Committee Office (referred to henceforth as, 'The Office').
The Office will handle the following managerial affairs for courses offered through The University on behalf of The Content Provider:
Student recruitment and registration affairs.
Collection of standard course fees.
Website operation and "leaflet" (standard promotional material) design and production for The University.
Ancilliary operations and affairs associated with the above as deemed necessary, appropriate, and/or beneficial by The Project Committee.
Article II: The Content Provider
The Content Provider works in cooperation with The University in order to plan and conduct lectures and related course content for students registered to take part in courses offered by The University.
The Content Provider bears full responsibility for determining course content, making arrangements for guest lecturers, and carrying out any and all course-related content in a safe and appropriate manner.
Article III: Lecture Privileges
Any lecture material created and presented by The Content Provider as part of a course offered through The University and/or such course-related content intended for The Student shall henceforth be referred to as 'The Lecture'. Individuals formally registered to take part in The Lecture and its related course content can be considered to fall under the category of The Student, as defined at the top of this User Agreement.
By consenting to abide by the terms outlined in this User Agreement, as well as fully carrying out the prescribed registration process and paying in-full the course fees associated with said course, following official confirmation of the proper completion of this process by The University, the individual who carries out this process will be granted the right to take part in lectures (referred to henceforth as, 'Lecture Privleges').
The Student is expected to abide by the terms of this User Agreement as long as he/she is registered for and/or participating in courses and/or course-related content offered by The University, as well as in cases where The Student continues to engage in activities related to The University following the completion of courses offered by The University and/or The Content Provider in association with The University.
Arctile IV: Suspension of Lecture Privileges
Should The University recognize that The Student has at any point and/or for any reason engaged in any one or several of the below actions, The University possesses the right to suspend The Student associated with such action(s) immediately and without any form of prior notification.
Falsification of documentation submitted to The University.
The Student has previously been found in violation of the terms of this User Agreement and as a result has previously been suspended from Lecture Privileges.
The University deems the action(s) of The Student to be damaging or potentially harmful to the operation of The University, irrespective of the reasoning for, and/or attributed to said action(s).
The Student is found to be in violation of this User Agreement.
The University deems the action(s) and/or behavior of The Student to be innappropriate for that of a student of The University granted Lecture Priveleges.
The University bears no responsibility whatsoever in the event that The Student and/or another third party suffers any form of loss, injury, and/or damages as a result of The Student becoming unable to utilize the services of The University following the enaction of measures suspending The Student from Lecture Privileges as they pertain to the items listed in the previous clause. Also, should The University and/or another third party suffer any form of loss, injury, and/or damages as a result of any of the actions outlined in the previous clause, even in the instance that any such damages are incurred following suspension of Lecture Privileges, The Student to whom which the related actions are associated shall bear full legal responsibilites.
Article V: Prohibited Actions
The Student is strictly prohibited from engaging in any of the following acts while taking part in course content and related activites, as well as while granted Lecture Privileges.
Any act which is in direct violation of the rights of The University, third parties, and/or other students, including acts which may indicate potential for violation of these rights.
Any act deemed to be in violation of the privacy of The University, The Student, and/or another third party.
Any form of slander and/or defamation targeted at The University, The Student, and/or another third party.
Any act which may have adverse implication for The University, The Student, and/or another third party.
Improper use and/or mishandling of mail address(es), password(s), and/or any other personal information.
Electoral campaigning and/or similar acts.
The transmition and/or installation of any sort of harmful computer program, application, software, etc.
Utilizing The University and/or its various resources for individual commercial gain, or any act which may be associated with such intent for commercial gain.
Any action and/or production of written content/posting(s) which serves to act against the goals of The University.
Any action serving contrary to moral and public order.
Any criminal act, as well as any action which may be associated with and/or serve to promote and/or give rise to any form of criminal act.
Any form of commercial, political, and/or religious solicitation.
Any other action which is in direct violation of laws and ordinances, as well as any act deemed to be improper and/or damaging by The University.
The University holds the right to suspend Lecture Rights of any student which it deems to be in violation of any one or multiple acts mentioned in the above.
Article VI: Withdrawing from a Course Following Completion of Registration
The following stipulations apply to cases wherein which The Student elects to withdraw from a registered course following full payment of course fees and completion of standard course registration processes.
In order to withdraw from a registered course, The Student must contact and inform The University office of this intent.
A cancellation fee of 2,000 yen will be charged to The Student in cases where the withdraw request is received at least 14 days prior to the first day of the course associated with said withdraw request.
A cancellation fee totaling 30% of the total course fee will be charged to The Student in cases where the withdraw request is received between 7 and 13 days prior to the first day of the course associated with said withdraw request.
No amount of the total course fee will be refunded to The Student in cases where the withdraw request is received less than 6 days prior to the first day of the course associated with said withraw request.
Arcicle VII: Damages and Compensation
In the event that damages and/or other annoyances are inflicted upon The University, another third party, and/or any facilities or property belonging to said parties as a result of actions carried out by The Student, The Student shall bear full responsibilty to peacefully resolve, and in applicable cases, also monetarily compensate for related damages.
In the event that The Student is involved in an accident, act of theft, and/or any other incident resulting in harm/and or damages to The Student or another third party during a course session or any other activity associated with said course, peaceful and amicable resolution between the involved parties shall be carried out entirely between The Student and The Content Provider, as The University bears no responsibility for these parties, nor does The University bear any responsibility whatsoever for any damages suffered by any of the involved parties. In the event, however, that damages are incurred as a result of causes attributed to The University, a portion of the fees associated with the related course in which The Student is formally registered for and participating in, and/or the activity associated with both the incident and said course where damages were incurred, will be compensated by The University.
Article VIII: Handling of Personal Information
Article IX: Copyrights
Information, software, printed materials, logos, etc. distributed to The Student as part of participation in course content or related activities associated with the course and/or The University is intended solely for personal use by The Student, and may not be transfered, reprinted, reproduced, redistributed, republished, and/or reused in any way without the expressed written consent of the entity possessing the legal rights associated with the handling and use of said content.
Should The Student openly transmit information and/or comments which The University interperets to fall under any of the following categories, The Student must, without any form of refusal, promptly comply to cease such actions and/or delete said information at the request of The University.
Information which infringes upon copyright(s) and/or other rights held by The University, third parties, or other students.
Information which may serve to damage the credibility and/or reliability of The University, third parties, or other students, as well as accepting such damaging claims, information, and/or counsel from a third party suggesting such defamation.
Information which, in content, use, or presentation, is deemed to be against the laws and ordinances of the nation of Japan or another nation as applicable.
Formal request to remove information and/or cease action is handed down based upon legal premise which is ordered by a court of law, legal inspector, law enforcement offical, or another nation's representative legal entity.
Any other instance wherein which The University deems such information and/or action(s) associated with the use of questionable information to be harmful and unjust.
Article X: Transfer of Duties and Rights
The Student is strictly prohibited from transfering rights and/or duties held by The Student to another third party, as well as participating in any such act wherein which The Student is offering up such rights as collateral to another third party.
Article XI: Notification of Amendment
Should The Student wish to amend the content of any information and/or documentation presented to The University by The Student, it is the responsibility of The Student to abide by the processes outlined by The University for processing such amendments, as well as to carry out these processes in an efficient and timely manner.
The University bears no responsibility whatsoever in the event that The Student suffers loss or damages as a result of failure to abide by the amendment processes as outlined in the previous clause.
Article XII: Course Suspension, Postponement, and Cancellation
In the event that the Content Provider elects to suspend, postpone, or cancel a course or related course content, it is the responsibility of the Content Provider and The Student(s) to peacefully and in good faith reach an amicable agreement for resolution and promptly report this mutally agreed upon resolution to the offices of The University.
The University bears no responsibility whatsoever in the event that The Student and/or Content Provider suffers loss and/or damages as a result of the mutually agreed upon resolution referred to in the previous clause.
Article XIII: Course Suspension, Postponement, and Cancellation by The University
The University reserves the right to temporarily suspend, postpone, or cancel a course and/or course-related content without having to provide any form of advance notice to The Student or Content Provider in each and any of the following cases.
Emergency maintanence to facilities.
The University is unable to carry out the scheduled course content as planned due to fire, power outage, or other such occurrence.
The University is unable to carry out the scheduled course content as planned due to natural disaster or any other unforseeable incident beyond control of The University.
Any other circumstance wherein which The University deems it necessary to suspend scheduled course content due to operational and/or technical issues.
The University bears no responsibility whatsoever for any loss and/or damages suffered by The Student and/or Content Provider as a result of the suspension of course content for any of the aforementioned reasons listed in the previous clause.
The University will not offer refunds in any of the cases outlined in the preceding clauses.
Article XIV: Amendment of Terms
The University may amend and/or append the terms outlined in this User Agreement at any time without consent of The Student, Content Provider, and/or any other third party. Amendments to this User Agreement go into effect immediately following the amended version being made public.
In the event that this User Agreement is found to be in violation of any laws or regulations as a result of any amendments made to official law or regulation, etc., the disagreeable section of this User Agreement shall be interpreted to exist in amendment which is in accordance with the corresponding laws and/or regulations.
Article XVI: Governing Laws and Jurisdiction
The legal standards represented as part of this User Agreement are drafted to correspond with the laws and ordinances of the nation of Japan.
In the event that any dispute should arise associated with this User Agreement, any and all legal action and proceedings shall be carried out exclusively under jurisdiction of the first district of the Tokyo District Courthouse.
